Managing
Committee
The Managing Committee
will comprise 2 or 3 members from each firm
(as decided by each from time to time),
although each firm will only have one vote.
The Committee will be responsible for managing,
coordinating and implementing the agreements
reached between the firms on the Alliance
and for administering the funds allocated
to it for the accomplishment of its purposes.
Chairmanship
The Managing Committee will
appoint a Chairman, apart from any other
officers that may deemed appropriate in
the future. For the first three years,
a representative from Garrigues will be
the Affinitas Chairman, namely, the Spanish
firm’s Chairman, Antonio Garrigues
Walker. Successive Chairmen will be appointed
by a vote taken on the Board from among
the members nominated by the founding
firms.
General Secretary
The position of General Secretary
is created, and the incumbent will be
charged with organizing and promoting
the accomplishment of the alliance’s
objectives. The duties of General Secretary
will be entrusted to, and be the responsibility
of, such person as may be designated by
Garrigues, although he or she need not
be a member of the Managing Committee.
